1. Acceptance of Terms

Welcome to the Scent-A-Filter wholesale platform. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Wholesale Customer”) and Scent-A-Filter (“we,” “us,” or “our”). By accessing or using our wholesale website, creating a wholesale account, placing orders, or opting in to any of our communication programs (including SMS/text messaging), you agree to be bound by these Terms in their entirety.

If you do not agree with any part of these Terms, you must immediately discontinue use of our website and services. We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website, and your continued use of our services following such notice constitutes acceptance of the revised Terms.

2. Eligibility and Age Restriction

2.1 Age Requirement

You must be at least eighteen (18) years of age to access or use our wholesale website, create a wholesale account, place orders, or enroll in any of our communication programs, including our SMS/text messaging service. By using our services or opting in to receive text messages, you represent and warrant that you are at least 18 years old. If we discover that a user is under the age of 18, we will immediately terminate their account and delete any associated personal information.

2.2 Business Authorization

By creating a wholesale account, you represent that you are authorized to act on behalf of the business entity you are registering, that you have the legal authority to bind that entity to these Terms, and that all information you provide is accurate and complete.

3. Wholesale Account and Services

3.1 Account Registration

To access wholesale pricing, place bulk orders, and use our wholesale portal, you must register for a wholesale account. Registration requires valid business credentials, including but not limited to your company name, business address, tax identification number, and resale certificate or license where applicable. We reserve the right to approve or deny any wholesale application at our sole discretion.

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. We are not liable for any losses arising from unauthorized use of your account where you have failed to maintain adequate security of your credentials.

3.3 Ordering and Pricing

All wholesale orders are subject to product availability and may be subject to minimum order quantities. Pricing is determined by your assigned wholesale tier and is subject to change with reasonable notice. We reserve the right to cancel or modify orders in cases of pricing errors, suspected fraud, or inventory limitations.

4. SMS / Text Messaging Program

4.1 Program Description and SMS Use Cases

Scent-A-Filter offers an SMS/text messaging program to keep our wholesale customers informed and supported. By opting in, you consent to receive text messages from Scent-A-Filter for the following purposes:

Order Updates: Notifications related to order confirmations, processing status, shipping updates, tracking information, delivery confirmations, and back-order or delay alerts.
Account Notifications: Payment reminders, invoice alerts, credit term updates, account verification messages, and security alerts related to your wholesale account.
Product and Inventory Alerts: Restock notifications for previously ordered products, new product launch announcements, seasonal product availability, and low-stock warnings for high-demand items.
Promotional Messages: Exclusive wholesale pricing offers, limited-time discounts, volume discount opportunities, clearance or closeout alerts, and early access to new fragrance collections.
Customer Support: Responses to support inquiries submitted via text, follow-up messages regarding open support tickets, and appointment or call-back confirmations with our wholesale team.
Operational Communications: Scheduled maintenance or system downtime alerts for the wholesale portal, policy or terms updates, and important business announcements affecting your account.

4.2 Consent and Opt-In

By providing your mobile phone number and affirmatively opting in, you expressly consent to receive recurring automated and non-automated text messages from Scent-A-Filter at the phone number provided. Consent is not a condition of purchasing any goods or services from us. You may opt in through any of the following methods:

Entering your mobile number and checking the SMS consent box during wholesale account registration.
Texting a designated keyword (e.g., JOIN, START, or WHOLESALE) to our SMS number.
Providing consent verbally or in writing to a Scent-A-Filter sales or support representative.
Enabling SMS notifications in your wholesale account communication preferences.

4.3 Message Frequency

Message frequency varies based on your account activity, order volume, and communication preferences. You may receive anywhere from a few messages per month to several messages per week, depending on factors such as active orders, promotions, and account alerts. We make reasonable efforts to limit messaging to relevant, valuable communications.

4.4 Message and Data Rates

Standard message and data rates may apply. Your mobile carrier’s standard messaging and data charges will apply to all text messages sent to and received from Scent-A-Filter. These charges are determined by your wireless plan and carrier, and Scent-A-Filter has no control over and is not responsible for any fees assessed by your mobile carrier. If you have questions about your messaging plan or data rates, please contact your wireless provider directly.

4.5 Opt-Out Instructions

You may opt out of our SMS program at any time. We respect your right to stop receiving text messages, and opting out is simple and immediate:

Reply STOP: Text the word STOP to any message you receive from Scent-A-Filter. You will receive a single confirmation message acknowledging your opt-out. No further messages will be sent unless you re-enroll.
Email Request: Send an opt-out request to support@scentafilter.com. Include your full name, business name, and the mobile number you wish to unenroll. We will process your request within two (2) business days.
Account Settings: Log in to your wholesale account portal and navigate to Communication Preferences to disable SMS notifications.
Contact Support: Call our wholesale support team at (888) 000-0000 during business hours and request removal from our SMS program.

Opting out of SMS messages will not affect your ability to place orders, manage your account, receive email communications, or access any other Scent-A-Filter services.

4.6 SMS Help and Support

If you are experiencing issues with our text messaging program or need assistance, you may:

Reply HELP: Text the word HELP to any message from Scent-A-Filter to receive a reply with program information and customer support contact details.

4.7 Carrier Liability Disclaimer

Scent-A-Filter and mobile carriers (including but not limited to AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, and all other wireless providers) are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your wireless carrier and network availability. Factors outside of our control that may affect message delivery include:

Network congestion, outages, or technical failures by your mobile carrier.
Signal strength and coverage area limitations.
Device compatibility, settings, or software issues.
Carrier-imposed message filtering or blocking.
Outdated or disconnected phone numbers.

Neither Scent-A-Filter nor any participating mobile carrier shall be liable for any damages, losses, or expenses arising from or related to delayed, undelivered, or misdirected text messages, regardless of the cause. Carriers are not responsible for the content of any messages sent through our SMS program. Carrier participation in our SMS program does not constitute endorsement, sponsorship, or approval of any Scent-A-Filter products, services, or promotions.

5. Privacy and Data Practices

Your privacy is important to us. Our collection, use, and handling of your personal information, including information gathered through our SMS program, is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services and agreeing to these Terms, you acknowledge that you have reviewed and agree to our Privacy Policy. Key privacy commitments relevant to these Terms include:

We do not sell your personal information, including your mobile phone number.
Mobile information collected through our SMS program is used solely to deliver the messages you have consented to receive and to administer the program.
We do not share your mobile phone number or SMS-collected data with third parties or affiliates for their marketing or promotional purposes.
All personal data is protected using commercially reasonable security measures, including encryption and access controls.

6. Intellectual Property

All content on our wholesale website, including but not limited to text, graphics, logos, product images, trade names, trademarks, and software, is the property of Scent-A-Filter or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without prior written permission from Scent-A-Filter.

Your wholesale account grants you a limited, non-exclusive, non-transferable license to access and use our wholesale portal for legitimate business ordering purposes only.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Scent-A-Filter, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website, services, or SMS program, including but not limited to lost profits, lost data, business interruption, or damages resulting from delayed or undelivered communications.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to Scent-A-Filter for wholesale orders in the twelve (12) months immediately preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Scent-A-Filter and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our services, your violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.

9. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within thirty (30) days, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the state where Scent-A-Filter maintains its principal place of business.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. Each party shall bear its own costs and attorneys’ fees unless the arbitrator determines otherwise.

10. Termination

We reserve the right to suspend or terminate your wholesale account and access to our services at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, non-payment, or conduct that we determine to be harmful to our business or other customers. Upon termination, your right to use our services and access the wholesale portal will immediately cease. Provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 8, and 9) shall remain in full force and effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which Scent-A-Filter maintains its principal place of business, without regard to conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located within that jurisdiction.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity or enforceability of the remaining provisions. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable wholesale account agreements, constitute the entire agreement between you and Scent-A-Filter with respect to your use of our wholesale website and services. These Terms supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written, relating to the subject matter herein.
